          摘要
           
          跨國經營是經濟全球化以及企業發展到一定歷史階段的產物，是企業參與國際市場經營的高級形式，跨國經營是企業充分利用產品生命周期的需要，是實現國際資源轉移的有效手段，也是企業充分挖掘并綜合利用自身優勢的必然結果。20世紀60~70年代，跨國公司作為一支不容忽視的力量出現在國際政治經濟舞臺上，其治理結構不僅代表著最先進的方向，也具有其復雜性——特別是跨國經營中母公司及子公司的治理結構。同時，今天在經濟全球化下中國企業不僅面對的是跨國公司進入中國市場的競爭，也存在走出去跨國經營的情況，這時世界各國的跨國公司的治理機制無疑是很好的借鑒。

          Abstract:
           
          Multinationaloperationisanoutcomeofeconomyglobalizationandenterprisesdevelopinginacertainhistorystage.It’stheadvancedmodewhenenterprisesparticipateinternationalmarketoperation.Multinationaloperationistherequirementforenterprisestoexploitlifeofproductssufficiently,theeffectivemeanstotransferinternationalresource,andtheinfallibleresultforenterprisestothoroughlyunearthandutilizeownadvantages.WhentheMNCsasacan’tbeneglectfulpowerappearsontheinternationalpolityandeconomyarenain60-70years20century,itscorporategovernancenotonlyrepresentsthemostadvanceddirectionbutalsohasitscomplexity—especiallythecorporategovernanceoftheparentcompanyandsubsidiarycompanyinmultinationaloperation.Atthesametime,thechineseenterprisesnotonlyfacethecompetitionoftheMNCsinChinesemarketundertheeconomicglobalization,butalsohavetogoouttomultinationaloperate,here,thecorporategovernanceintheworldmustbegooduseforreference.
